Leafwire (“Leafwire” “We” or “Us”) recognizes that Your (“You” or “Your”) privacy is important, and We take it seriously. This is our Privacy Policy and it explains how We collect, use and store the data that You provide to Us as a member of the services, applications and website (the “Product”) that Leafwire provides. By using the Services, You consent to our use of Your information in accordance with this Privacy Policy. We will not use or share Your personal information with anyone except as described in this Privacy Policy. This Privacy Policy does not apply to personal information We collect by other means (including offline) or from other sources. Capitalized terms that are not defined in this Privacy Policy have the meaning given them in our Terms of Service.

Federal Law Advisement

Marijuana is a Schedule I controlled substance under the United States Controlled Substances Act, 21 USC § 801, et seq., and, therefore, the possession, cultivation and distribution thereof, or conspiring with or assisting others to do the same, is federally illegal and can result in significant criminal and civil penalties. ENGAGING IN ACTIVITIES OR BUSINESS RELATED TO MARIJUANA IS AT YOUR OWN RISK, AND THE USE OF LEAFWIRE OR THE PRODUCT (the “Product”) WILL IN NO WAY RESULT IN COMPLIANCE WITH UNITED STATES FEDERAL LAW. Leafwire has made no representation to the contrary. Despite Your use of the Product, or any part thereof, or Your compliance with applicable state law and current United States federal enforcement priorities and guidelines related to marijuana, You remain subject to severe criminal and civil penalties if You choose to cultivate, distribute, possess or otherwise engage in activities related to marijuana.

Information We Collect

Through the Website and the App, We collect both “Non-Personal Information” and “Personal Information”. Non-Personal Information includes information that cannot be used to personally identify You, such as Your IP address, device ID, anonymous usage data, general demographic information We may collect, preferences You submit and preferences that are generated based on the data You submit. Personal Information includes information that can be linked to a specific individual or entity, such as a name, address, phone number, federal employee identification number (“FEIN”), payment information, email address, login information for third party sites and other information which You submit to Us through the Product, or any part thereof. Personal Information also includes, but is not limited to, the posts that You make within the platform, Personal History, Service and funding requests.

Leafwire uses personal information We collect to provide the Services, personalize content, remember information to help You efficiently access Your account, analyze how the Services are used, diagnose service or technical problems, maintain security, monitor aggregate metrics such as total number of visitors, traffic, and demographic patterns, and track user Content and users as necessary to comply with the Digital Millennium Copyright Act and other applicable laws.

Information You Provide Us

There are many occasions when You provide information that may enable Us to identify You personally (“Personally Identifiable Information”) while using the Services, such as when You sign up for an account, verify Your identity or Your status as an Accredited Investor or Cannabis professional, input Your employment and academic history, make a funding or service request, provide payment instructions, fill out form information, or provide Us with access to Your profiles on third party sites. Personally Identifiable Information (PII) may include Your email address, name, phone number, birthday, age, address, Social Security number and/or investment objectives, investment experience, and Your educational or professional history.

We may use Your email address to send You Services-related notices, including any notices required by law, in lieu of communication by postal mail. You can control receipt of certain Services-related messages on Your Leafwire Settings page. Provided You have given explicit permission, We may also use Your contact information to send You marketing messages. If You do not want to receive such messages, You may opt out by following the instructions in the message or update Your contact preferences within Your Leafwire Settings page. (Please note it may take up to one week to process any opt-out requests.) If You correspond with Us by email, We may retain the content of Your email messages, Your email address and our responses.

You also provide Us information in user Content You post to the Site. Your questions, answers, and other contributions on the Site, and metadata about them (such as when You posted them), are publicly viewable on the Services, along with Your name (unless the Services permit You to post anonymously). This information may be searched by search engines and be republished elsewhere on the Internet in accordance with our
Terms of Service.

If You choose to use our invitation service to invite a contact to the Services, We will ask You for that person’s email address and automatically send an email invitation. Leafwire stores this information to send this email, to register Your contact if Your invitation is accepted, and to track the success of our invitation service.

Information You provide to Us as You use the platform

Leafwire collects non-PII information regarding Your usage of the site, including the pages and articles and presentations You viewed, time spent using certain features of the website, demographic data such as server locations, connection speed, and other information that does not identify You (“Non-PII” and collectively with the PII, the “Data”). Like most online services, We may use cookies, log files, clear GIFs, tracking pixels, web beacons, and other technologies some of which are detailed below.

Cookies: When You visit the Services, We may send one or more “cookies” – small data files – to Your computer to uniquely identify Your browser and let Leafwire help You log in faster and enhance Your navigation through the Site. A cookie may convey anonymous information about how You browse the Services to Us, but does not collect personal information about You. A persistent cookie remains on Your computer after You close Your browser so that it can be used by Your browser on subsequent visits to the site. Persistent cookies can be removed by following Your web browser’s directions. A session cookie is temporary and disappears after You close Your browser. You can reset Your web browser to refuse all cookies or to notify You when a cookie is being sent. However, some features of the site may not function properly if the ability to accept cookies is disabled.

Log Files: Log file information is automatically reported by Your browser each time You access a web page. When You use the site, our servers automatically record certain information Your web browser sends whenever You visit any website. These server logs may include information such as Your web request, Internet Protocol address, browser type, referring / exit pages and URLs, number of clicks, domain names, landing pages, pages viewed, and other such information.

Third Party Services: Leafwire may use Google Analytics to help understand use of the Services. Google Analytics collect the information sent by Your browser as part of a web page request, including cookies and Your IP address. Google Analytics also receives this information and their use of it is governed by their respective privacy policies.

Use of LinkedIn User Data: If You choose to connect a LinkedIn profile to Your account, We will access certain information obtained from LinkedIn regarding Your account. In particular We may store Your name and email address as well as information on the particular profile You connect, including Your contacts. This data will only be used by Us to provide You with the service You expect and will not be shared with any third parties.

When You use the App, We may collect Your mobile device’s unique device identifier (“UDID”) and Your geo-location if geo-location services are enabled on Your device. You may elect to turn on or off geo-location services for the App using the settings on Your device. In order to add comments or images for action items related to inspections, YOU MUST ENABLE GEO-LOCATION IN ORDER FOR THE APP TO HAVE FULL FUNCTIONALITY. If location services are not enabled, You will be prompted to enable location services when attempting to add comments or images to an action item.

How We Use And Share Information

Personal Information

Personal Information You provide to Us is used to help Us communicate with You and to provide You with the services offered on the Product, or any part thereof, including, but not limited to, connecting Your Investors, Companies and Cannabis Professionals that match Your needs. For example, We use Personal Information to: (1) register and service Your Account; (2) solicit feedback and respond to Your questions; (3) provide technical support; (4) connect You with Investors, Companies and other members; and (5) inform You about product or promotional offers, or with regulatory updates.

Push Notifications; Emails

We may send push notifications to Your mobile device to communicate with You about the Product, or any part thereof. You can choose to disable such notifications via the settings in the App or on Your device at Your discretion. We may also send You emails that are initiated by use of the Product, or any part thereof, which include, but are not limited to, notifications, confirmations and other email types. CCs and GEs with which You communicate may also send You similar emails, which may or may not occur through the Product, or any part thereof. We may also send newsletter-type emails, which You may opt out of.

Non-Personal Information

We may use Non-Personal Information to help Us improve the Product, or any part thereof, and to customize the user experience. We may also aggregate Non-Personal Information in order to track trends and analyze use patterns on the Website and the App. This Privacy Policy does not limit in any way Our use or disclosure of Non-Personal Information and We reserve the right to use and disclose such Non-Personal Information to Our partners, advertisers and other third parties at Our discretion (including aggregated and/or anonymized information about Our users and their use of the Website and the App). We do not use or respond to “do not track” signals that may be sent from Your mobile device.

Mergers, Acquisitions and Similar Business Transactions

In the event Leafwire undergoes a business transaction such as a merger with or acquisition by another company, or sale of all or a portion of Our assets, or in the event of Our bankruptcy or insolvency, Your Personal Information, as well as Non-Personal Information, may be among the assets transferred to a third party. You acknowledge and consent that such transfers may occur and are permitted by this Privacy Policy, and that any acquirer of Our assets may continue to process Your Personal Information as set forth in the then in effect Privacy Policy. Sharing Information with the Government or as Otherwise Required by Law Leafwire cooperates with government and law enforcement officials to enforce and comply with the law. We may therefore disclose Your information as listed above, if We have a good faith belief that it is reasonably necessary to: (1) satisfy any applicable law, regulation, legal process or enforceable governmental request; (2) enforce Our Terms of Service or this Privacy Policy, including, but not limited to, investigation of potential violations thereof or hereof; (3) detect, prevent, or otherwise address fraud, security or technical issues; or (4) protect against harm to the rights, property or safety of Leafwire, its users or the public as required or permitted by law. Leafwire is not precluded from disclosure of any such information by any rule governing attorney/client privilege, confidentiality, attorney work product or any similar rule in Your or any jurisdiction.

Data Retention

We may store information You provide Us, or information that is generated or collected automatically, for as long as is necessary to provide the Product, or any part thereof, including after You cease to use the Product if necessary to provide the Product, or any part thereof.

How We Protect Your Data

Leafwire and Our service providers implement security measures designed to protect Your information from unauthorized access, disclosure or accidental loss or destruction of Non-Personal Information and Personal Information. We utilize appropriate physical, technical and managerial safeguards designed to protect the information We collect from or about Our users, and We take commercially reasonable steps to protect the privacy of Your information. We cannot, however, ensure or warrant the security of any information You transmit to Leafwire or guarantee that Your information on the site may not be accessed, disclosed, altered or destroyed by a breach of our security.

Leafwire has appointed a Director of Data Security who will have the primary responsibility for protection of Your data and the data of others who use the Product. The Director is responsible for conducting an extensive and detailed risk analysis regarding data integrity and security, and will periodically test the effectiveness of Leafwire’s security protocols.

In the event that PII data is compromised as a result of any breach of our security, Leafwire will promptly notify those persons whose PII data has been compromised.

Changes to Our Privacy Policy

Leafwire may occasionally update this Privacy Policy. When we do update this Privacy Policy, We will also revise the “Last Updated” date at the top of the Privacy Policy. If we make changes to this Privacy Policy that, in Our discretion, We consider significant, We will post the updated Privacy Policy on the Website and the App and We may also send e-mails to Our users who have created an Account containing a link to the revised Privacy Policy. Please review this Privacy Policy periodically to stay informed about how We are protecting the Personal Information We collect. If You continue to use the Product, or any part thereof, after We post an update to this Privacy Policy, You indicate Your acceptance of the updated Privacy Policy.
